Centervends Terms and Conditions

These Terms govern your use of Centervends, operated by Center Vend Ltd, of CenterVends Plaza, Zone 5, Wuse, FCT, Abuja ("Centervends", "we", "us"). By creating an account or using the platform, you agree to these Terms. If you don't agree, don't use Centervends.

1. What Centervends is Centervends is a technology platform that lets businesses build websites, run online shops, list products and services, and connect with buyers, riders and logistics partners. Centervends is a platform intermediary. We are not the seller, buyer, manufacturer, landlord, service provider or delivery company in any transaction, and we are not a party to any contract between buyers and sellers. Each vendor is solely responsible for its products, services, prices, descriptions, delivery, refunds and legal compliance.

2. Accounts and verification You must be at least 18 and able to enter a binding contract. You must give accurate information and keep your login secure. We verify phone numbers by one-time code (OTP) at sign-up, login and before payouts. You're responsible for all activity on your account.

3. Plans, free tier and deletion Paid plans are billed in naira in advance, monthly or yearly, as shown on the pricing page. The Free plan lasts 6 months from sign-up. After that, your site goes offline but your account and content are kept, and you can upgrade at any time to bring your site back. If you don't upgrade within 12 months of your site going offline, your site, its content and your account are permanently deleted. We'll warn you 30, 7 and 1 days before deletion, and you can export your content at any time before then. Fees already paid are non-refundable except where the law requires otherwise.

4. Your content and listings You own the content you upload, and you are solely responsible for it, including product listings, prices, images, descriptions, reviews and messages. You confirm that you have the rights to everything you upload and that it is accurate, lawful and doesn't infringe anyone's rights. You give Centervends a non-exclusive, royalty-free licence to host, display, copy and promote your content to operate and market the platform. We may remove content or suspend accounts that break these Terms or the law, without prior notice where necessary.

5. Acceptable use You must not use Centervends to: - sell or promote illegal, counterfeit, stolen, dangerous or regulated goods without the required licences; - commit fraud, scams, money laundering or misleading pricing; - post content that is defamatory, hateful, obscene, violent, or infringes intellectual property; - harass, spam or impersonate anyone; - collect other users' personal data without consent; - hack, overload, scrape, reverse-engineer or interfere with the platform or its security; - get around plan limits, fees or verification. We may suspend or close accounts that break these rules and report illegal activity to the authorities.

6. Payments between buyers and vendors Payments may be processed by third-party providers (such as Paystack or Flutterwave) under their own terms. For bank transfers or pay-on-delivery, payment is made directly between buyer and vendor. Centervends does not hold buyer funds unless stated, and is not responsible for a vendor's failure to deliver or a buyer's failure to pay. Each vendor must publish a refund and returns policy; if they don't, the Centervends default refund policy applies to their shop.

7. No warranty Centervends is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties of any kind, express or implied, including that the platform will be uninterrupted, error-free, secure or available at any particular time, that your site will stay online, or that you will make any sales. We may change, suspend or discontinue features at any time. Hosting may rely on third-party providers whose outages are outside our control.

8. Limitation of liability To the fullest extent the law allows, Centervends and its directors, staff and partners will not be liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, data, goodwill or business opportunity, arising from your use of the platform, any downtime, any transaction between users, or any content posted by users. Our total liability to you for any claim will not exceed the fees you paid us in the 3 months before the claim (or ₦10,000 if you paid nothing). Nothing in these Terms limits liability that cannot be limited by law, including under the Federal Competition and Consumer Protection Act 2018.

9. Indemnity You agree to indemnify and hold harmless Centervends and its directors, staff and partners from any claims, losses, damages, fines, costs and legal fees arising from: your content or listings; your products, services or deliveries; your transactions with other users; your breach of these Terms or any law; or your infringement of anyone's rights.

10. Data protection and privacy We process personal data in line with the Nigeria Data Protection Act 2023 and our Privacy Policy. In summary: - What we collect: name, phone number, email, business details, delivery addresses, order and payment records, device and usage data. We do not collect NIN or BVN. - Why: to provide accounts and shops, verify phone numbers, process orders and payouts, prevent fraud, provide support, meet legal duties and, with your consent, send marketing. - Legal bases: your consent, performing our contract with you, legal obligations and our legitimate interests. - Sharing: with payment providers, riders and logistics partners (only what's needed to deliver an order), hosting and SMS providers, and authorities when the law requires. We don't sell personal data. - Retention: while your account is active and as described in section 3, then deleted or anonymised unless the law requires us to keep it. - Your rights: to access, correct, delete, or move your data, to withdraw consent, and to object to processing. You may also complain to the Nigeria Data Protection Commission. - Vendors who receive buyer data through Centervends must use it only to fulfil that order and protect it under the NDPA 2023.

11. Consent By ticking the consent box at sign-up or verification, you agree that we may process your personal data for the purposes stated next to that box and in our Privacy Policy. Marketing messages require a separate opt-in, and you can withdraw any consent at any time in your account settings or by contacting us, without affecting processing before withdrawal.

12. Suspension and termination You can close your account at any time. We may suspend or terminate your account if you break these Terms, fail to pay, or if required by law. Sections 4, 7, 8, 9, 13 and 14 survive termination.

13. Disputes Buyers and vendors should first try to resolve disputes directly. Centervends may offer a complaints process but is not obliged to resolve disputes between users. For disputes with Centervends, contact [email protected] first; if not resolved within 30 days, either party may refer the dispute to mediation in Abuja, and failing that to arbitration under the Arbitration and Mediation Act 2023, seated in Abuja, in English, before a single arbitrator. Nothing stops either party from seeking urgent relief from a court.

14. Governing law These Terms are governed by the laws of the Federal Republic of Nigeria, and subject to section 13, the courts of the Federal Capital Territory, Abuja have jurisdiction.

15. Changes We may update these Terms. We'll notify you of material changes by email, SMS or on the platform at least 14 days before they take effect. Continuing to use Centervends after that means you accept the new Terms.
